If they had any sense, they'd back it up with a D&O insurance policy, although whether any insurer would offer cover to a newly formed, loss making entity is doubtful. On that basis, I very much doubt he will get up on it. The allegation that the clause extends to cover criminal claims, including to defraud the company, could be interpreted as an admission.
